Terms of Service
Effective date: 2026-05-21 Last updated: 2026-07-28
These Terms of Service (the "Terms") govern your access to and use of the Radiusly website, mobile application, and related services (collectively, the "Service"), operated by an individual sole proprietor based in Israel ("Radiusly", "we", "us").
By accessing or using the Service you agree to these Terms, our [[privacy-policy]], our [[community-guidelines]], and, for use of the mobile application, our [[eula]]. If you do not agree, do not use the Service.
Contact: [email protected].
1. Who can use the Service
You may use the Service only if you can form a binding contract with us, and only in compliance with these Terms and all applicable laws.
- You must be at least 18 years old to use the Service. The Service is intended for adults and may not be used by minors.
- You must not be barred from receiving services under the laws of Israel or any other applicable jurisdiction.
- You must not have been previously terminated from the Service.
2. The Service
Radiusly is a nearby, location-based chat service. Chats are pinned to GPS coordinates, and to send messages you must be physically within approximately 100 metres of the chat's pin. The app does not require accounts; your in-chat identity is a temporary name and emoji assigned per chat.
We may change, add, or remove features of the Service at any time. We may also impose reasonable limits on use, such as rate limits, message size limits, and message retention rules.
3. Your conduct
When using the Service you agree not to:
- Violate any law or third-party right.
- Post content prohibited by our [[community-guidelines]] or section 4 of the [[eula]].
- Spoof, falsify, or otherwise manipulate your device's location.
- Use bots, scrapers, or any automated means to access the Service or to send messages.
- Interfere with, disrupt, overload, or attempt to gain unauthorised access to the Service, its infrastructure, or other users' sessions.
- Reverse engineer, decompile, or attempt to extract source code from the Service except where applicable law expressly permits it.
- Use the Service to harass, stalk, threaten, dox, or defraud any person, or to coordinate physical-world harm.
- Use the Service to send unsolicited commercial messages or to promote schemes.
- Aggregate, scrape, or republish messages from the Service for any purpose without our written permission.
Violation of this section may result in immediate suspension or permanent termination of your access, removal of your content, and where appropriate referral to law enforcement.
4. User content
You retain ownership of the messages and chat names you submit ("User Content"). You grant Radiusly a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and transmit your User Content solely to operate, secure, and improve the Service and to enforce these Terms.
You represent and warrant that you have all rights necessary to grant that licence and that your User Content does not infringe any third party's rights or violate any law.
User Content is public within its chat. Anyone within range of the chat pin can read it. Do not post anything you would not be comfortable making public.
5. Reporting and moderation
The Service includes in-app report and block controls on every message. We act on credible reports of objectionable content using commercially reasonable efforts within 24 hours. See the [[community-guidelines]] for the substantive rules, and section 4 of the [[eula]] for the full reporting framework.
To report directly, email [email protected] with the chat name, approximate pin location, the displayed sender name/emoji, the reported content, and an approximate timestamp.
6. Location
The Service requires your device's precise location to function. Sending messages and viewing nearby chats both depend on it. If you deny or revoke location permission, you may not be able to use core features.
Your coordinates are used as described in the [[privacy-policy]]. We do not build a movement history from your coordinates.
7. Third-party services
The Service uses Google Maps for map display, Amazon Web Services for hosting, Expo / Expo Application Services for mobile builds and push notification delivery, and Apple's APNs / App Store for distribution on iOS. Your use of these third-party components is governed by the third party's own terms and privacy policy.
8. Intellectual property
The Service, excluding User Content, is owned by Radiusly and protected by intellectual property law. We grant you a limited, personal, non-transferable, non-sublicensable, revocable licence to use the Service in accordance with these Terms. No other rights are granted.
The Radiusly name and any associated logos are our marks. You may not use them without our prior written consent.
9. Termination
You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without cause, with or without notice, including (without limitation) if we reasonably believe you have violated these Terms, the [[community-guidelines]], or the [[eula]]; if continued provision is no longer commercially viable for us; or if required by law.
Upon termination, sections 4 (the licence in User Content already submitted), 10 (Disclaimer), 11 (Limitation of liability), 12 (Indemnity), 13 (Governing law and venue), and 14 (Miscellaneous) survive.
10. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or quiet enjoyment.
We do not warrant that the Service will be uninterrupted, secure, error-free, free of viruses, or that any content (including User Content posted by other users) is accurate, lawful, or non-objectionable. You use the Service at your own risk.
11. Limitation of liability
To the maximum extent permitted by law, in no event will Radiusly be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms or the Service. Our aggregate liability for any direct damages shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) ten US dollars (USD 10).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages; in such jurisdictions the exclusions and limitations in sections 10 and 11 apply only to the extent permitted.
12. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Radiusly from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your use or misuse of the Service; (c) your violation of these Terms, the [[community-guidelines]], or the [[eula]]; or (d) your violation of any third party's rights or any applicable law.
13. Governing law and venue
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws rules. The competent courts of Tel Aviv-Yafo, Israel have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any non-waivable consumer-protection rights you may have under the law of your country of residence.
14. Miscellaneous
- Changes. We may update these Terms from time to time. Material changes will be highlighted in-app or on the website prior to taking effect. Continued use after a change constitutes acceptance.
- Entire agreement. These Terms, together with the [[privacy-policy]], the [[community-guidelines]], and (for the mobile app) the [[eula]], are the entire agreement between you and Radiusly concerning the Service and supersede any prior agreements.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
- No waiver. Our failure to enforce any provision is not a waiver of that or any other provision.
- Notices. Notices to us must be sent to [email protected]. Notices to you may be delivered in-app, by email if you have provided one, or by posting on the website.
- Apple App Store. If you obtained the mobile application from Apple's App Store, the additional terms in section 12 of the [[eula]] apply, including that Apple is a third-party beneficiary entitled to enforce the EULA.
